These terms cover your use of this website. They are short and standard. Our actual services are covered by a separate written agreement with each client.

1. Agreeing to these terms

This website is operated by Hundred MS LLC ("we", "us"). By using it, you agree to these terms. If you do not agree, please do not use the site.

2. The site is information, not advice

Everything on this website, including articles, guides, case studies, examples and animations, is general information. It is not accounting, tax, legal, investment or other professional advice, and you should not rely on it as such. Your situation is specific. Speak to a qualified adviser before acting.

Some screens on the site are illustrations, and are marked as such. Case studies describe past work with details removed. Past results do not guarantee future results.

3. No client relationship

Using this website, contacting us or booking a call does not create a client relationship. We act for you only after we have both signed a written engagement agreement.

Please do not send us confidential information until that agreement is in place. We cannot promise to keep confidential anything sent to us before then.

4. Our services and any guarantees

Our services, fees, timelines, service levels and any guarantees are set out only in the engagement agreement we sign with each client. Descriptions on this website, such as a month-end close by business day 10, summarise what we offer. They apply to you only as written in your signed agreement, and only under the conditions stated there.

If this website and your signed agreement say different things, the signed agreement wins.

5. Acceptable use

You agree not to misuse the site. For example, do not try to break or probe its security, overload it, copy it in bulk with automated tools, use it to send spam, or use it in a way that breaks the law.

6. Our content

The text, design, graphics, animations and code on this site belong to Hundred MS LLC or are used with permission. You may view the site and share links to it. You may not copy, republish or sell its content without our written permission. Short quotations with a link back to the source are fine.

7. Other companies' names and tools

NetSuite, QuickBooks, Sage, Xero, Microsoft, Google and other product and company names on this site are trademarks of their owners. We mention them to describe the tools we work in. Hundred MS is an independent firm and is not affiliated with, endorsed by or a partner of those companies.

The site links to third-party websites and uses third-party tools, such as the Microsoft booking calendar. We do not control them and are not responsible for their content, availability or practices.

8. No warranties

The website is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties about it, express or implied, including that it will be accurate, complete, current, uninterrupted, secure or free of errors.

9. Limit of liability

To the fullest extent the law allows, Hundred MS LLC and its owners, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of this website or reliance on its content.

Our total liability for any claim relating to this website will not exceed one hundred US dollars (US$100). This limit applies to the website only. Liability for our services is dealt with in the engagement agreement.

10. Indemnity

If you misuse this website or break these terms, and a third party brings a claim against us because of it, you agree to cover our reasonable costs of that claim.

11. Governing law

These terms are governed by the laws of the State of Florida, USA, without regard to its conflict of law rules. Any dispute about this website will be brought only in the state or federal courts located in Pinellas County, Florida, and you agree to their jurisdiction. If you have a concern, please contact us first. Most things can be sorted out with a conversation.

12. Changes

We may change the website or these terms at any time. When we change the terms, we update the date at the top of this page. By continuing to use the site, you accept the updated terms. If any part of these terms is found to be unenforceable, the rest still applies.
